Reset the player first. If it still occurs, then go to the Philips Device Manager, and attempt both the Repair and the Update (Warning: this will delete all songs off your player). If you do not have the Philips Device Manager, rerun your installation Cd or grab the Device Manager from the Philips website.If it still fails:

Reset for GoGear:
Disconnect
the Go Gear from computer. Press the reset pinhole until the player turns
off. Hold in the volume + button, and reconnect the player to the
computer while holding the volume + button in. Keep holding the volume + button
for an additional 5-50 seconds. Windows should eventually go into recovery mode
and revive the player- it will pop up a window that says Found New Hardware
Wizard. If this pop-up does not appear, reset the player again WHILE connected
to the computer. Open the Philips Device Manager, and go to Repair Tab.
Reset the player one more time while connected to computer. Follow the repair
instructions.
After repair is complete, upgrade the firmware for this player.
Will erase all the songs, but you should be good to go again.

It's normal for the player to shut off hwne you disconnect it from the computer. It's not normal for it to not power back on when you disconnect it from computer, and then press power. I'm assuming you have checked this, but make sure the hold/lock is not engaged on the side of the player.
It's toast. Go ahead and call Philips to find out if you are still in warranty - have model # and serial # ready. Reset, repair and recovery fix any software related issues. Your player is clearly having a hardware issue, as evidenced by the fact that it won't power up after being disconnected from PC.

Try the repair procedure:
Install and run the Philips Device Manager from the product CD.
Press and hold [VOL+] whilst connecting to the PC. Device Manager will show and error with the device.
Follow the on-screen prompts to repair the device.

The constant initializing is a board fault and cannot be repaired unfortunately.
The cost of the board outweighs the value of the player.
If the unit is not under warranty, you can get a replacement player very cheaply from www.cheapestelectrical.co.uk or other models

Code 10 errors can be resolved by completely uninstalling the Philips Device Manager and other software that came with the GoGear installation CD, and then reinstalling the clean version of the software from the Philips website. Then running a Repair. The version of the Device Manager that is on the installation CD is not the same version as the one from the website.
Recovery
Mode for Philips' GoGear
Open
the Philips Device Manager and click on the “Repair” tab. Then click on the “Repair” button to start
the repair process. Most of the time, when
your player is in that state, the Device Manager will not recognize that your
GoGear is plugged in. If this is the case:
Disconnect the player from the PC, and make sure the mp3 player is turned off.
Hold in the volume + button on the mp3 player, and reconnect the player to your
pc while holding in the volume + button. Continue holding the volume + for
10-15 seconds until a "Found New Hardware Wizard" pops up. It should
recover your device if there isn't anything internally wrong with the player.
Warning: this procedure will result in your songs being erased off the player,
so they will have to be reloaded.

GoGear Firmware Upgrade
You
need to get the latest firmware upgrade from the Philips website:
1.
Go to www.philips.com/support
2.
Enter your country/language
3.
Enter your model # SA6045 or whatever
4.
Click on the link for your exact model # (the one w/o the "B" in it)
5.
Click on "Software & Drivers"
6.
Download the updated "Device/Firmware Manager"
7.
Once installed, open the Philips Device Manager
8.
Click on the "Update" tab, then the "Update" button (with
your mp3 player connected to the computer, of course)
9.
Your Mp3 players firmware will update automatically
If
you do not have the latest version of the Philips Device Manager installed (the
latest is the version from the Philips website), then clicking the
"Update" button will give you a false positive saying "The
firmware on your device is already up to date."

I just repeated the steps above on more than one computer until it finally connected and showed the songs, then I deleted everything, restarted it and voila` all the menu's showed up. Then the first thing I did was reset to factory settings. After that it worked perfectly. I don't really know what combination really fixed it, but I kept hitting the reset button, restarting while holding down the volume + key and the <loop> key until it eventually responded.
